Terms of Service
These Terms of Service ("Terms") govern access to and use of the Spacebook.tech website, platform, and related services (collectively, the "Service"). The Service is operated by ABX Dynamics SRL, Avenue Louise 200/133, 1050 Brussels, Belgium, trading as Spacebook.tech ("Spacebook.tech", "we", "us", or "our").
By accessing or using the Service, or by accepting these Terms on behalf of an organization, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. In that case, references to "Customer", "you", or "your" mean that organization. If you do not agree to these Terms, you must not access or use the Service.
1. Service
Spacebook.tech provides a cloud-based software platform enabling organizations to manage room, space, and resource bookings, including associated scheduling, availability, administrative, and related operational workflows. Certain features may include guest booking, integrations, payments, notifications, and administrative tools, depending on the applicable subscription, configuration, and product evolution.
We may modify, update, replace, enhance, suspend, or discontinue any part of the Service at any time for operational, technical, legal, security, or commercial reasons. Unless otherwise expressly agreed in writing, we do not undertake to maintain any specific feature set, integration, or functionality indefinitely.
2. Eligibility and Authority
You may use the Service only if you are legally capable of entering into a binding agreement under applicable law. If you use the Service on behalf of an organization, you represent and warrant that you are authorized to bind that organization.
The Customer is responsible for ensuring that any person accessing the Service through its account is authorized to do so and complies with these Terms.
3. Accounts and Security
Access to the Service may require the creation of one or more accounts. Customer shall ensure that all registration information is accurate, complete, and kept up to date.
Customer is solely responsible for:
- maintaining the confidentiality of account credentials;
- managing access rights and permissions within its organization;
- all use of the Service under its accounts, except to the extent directly caused by our breach of these Terms;
- promptly notifying us of any suspected unauthorized use, compromise, or security incident affecting its account.
We may suspend, restrict, or disable any account or credentials where reasonably necessary for security, legal, operational, or abuse-prevention reasons.
4. Customer Organization Responsibilities
Where the Service is subscribed to by an organization, that organization is solely responsible for:
- designating administrators;
- assigning roles and permissions;
- ensuring that the Service is used in accordance with its internal policies and applicable law;
- determining whether the Service is appropriate for its intended business, operational, educational, or institutional use case;
- ensuring that no inappropriate, excessive, or prohibited data is entered into the Service;
- obtaining any notices, consents, permissions, or authorizations required from its users or third parties.
Spacebook.tech does not monitor Customer Data for legal sufficiency, appropriateness, or compliance and is not responsible for the Customer's internal governance, user management, or policy enforcement.
5. Subscription, Fees, Billing, and Renewal
Access to the Service may be provided under a paid subscription plan, custom commercial arrangement, trial, beta access, or other offer. Applicable fees, billing intervals, renewal terms, and feature entitlements shall be as set out in the applicable order form, quotation, proposal, invoice, checkout flow, or other written commercial terms.
Unless otherwise expressly agreed in writing:
- fees are payable in advance;
- fees are non-cancellable and non-refundable;
- subscriptions renew automatically for successive renewal terms equal to the initial subscription term unless cancelled before renewal;
- we may suspend access to the Service for non-payment after reasonable notice;
- overdue amounts may bear interest at the maximum rate permitted by applicable law.
Customer is responsible for keeping billing and payment information complete, accurate, and current.
All fees are exclusive of taxes, duties, levies, withholdings, or similar governmental charges, except taxes imposed on our net income. Customer is responsible for all such taxes and charges arising from its purchase or use of the Service.
6. Trials, Beta Features, and Free Access
Any trial, free plan, beta feature, early-access feature, or promotional use is provided strictly on an "as is" and "as available" basis, without any warranty, commitment, support obligation, or liability of any kind to the maximum extent permitted by law.
We may modify, suspend, limit, or terminate any such access at any time without notice and without liability.
7. Acceptable Use
Customer shall not, and shall not permit any user or third party to:
- use the Service in violation of applicable law or regulation;
- use the Service for fraudulent, misleading, abusive, or harmful purposes;
- attempt to gain unauthorized access to the Service, other customer accounts, or any related systems or networks;
- interfere with, disrupt, degrade, or impair the integrity, performance, or availability of the Service;
- upload, transmit, or introduce malware, malicious code, or harmful content;
- reverse engineer, decompile, disassemble, copy, modify, translate, scrape, mirror, frame, or create derivative works from the Service, except to the extent such restriction is prohibited by law;
- probe, scan, or test the vulnerability of the Service without our prior written authorization;
- use the Service to store or process special categories of personal data or other highly sensitive data for which the Service is not intended;
- use the Service to infringe third-party rights;
- resell, sublicense, lease, outsource, or otherwise make the Service available to third parties except as expressly permitted by us in writing.
We may investigate suspected violations and may suspend or restrict access where reasonably necessary to protect the Service, our customers, or third parties.
8. Customer Data
As between the parties, Customer retains all rights, title, and interest in and to data, content, and other materials submitted to or processed through the Service by or on behalf of Customer ("Customer Data").
Customer grants Spacebook.tech a non-exclusive, worldwide, limited right to host, copy, transmit, store, display, process, and otherwise use Customer Data solely as necessary to provide, maintain, secure, support, improve, and enforce the Service and these Terms, and to comply with applicable law.
Customer represents and warrants that it has all rights, permissions, and legal authority necessary to submit Customer Data and authorize its processing.
Customer is solely responsible for the legality, accuracy, quality, integrity, and appropriateness of Customer Data and for ensuring that it does not submit data that is unnecessary or inappropriate for the intended use of the Service.
9. Restricted and Sensitive Data
The Service is intended for operational room, space, and resource booking workflows. It is not designed for the storage or processing of special categories of personal data or other highly sensitive information, including health data, biometric data, government-issued identification numbers, criminal convictions data, highly sensitive student records, or full payment card data.
Customer shall not submit such data unless expressly authorized by us in writing. If Customer nonetheless submits such data in breach of these Terms, Spacebook.tech shall have no responsibility or liability arising from the submission, storage, processing, or exposure of such data, except to the extent liability cannot be excluded under applicable law.
10. Privacy and Data Protection
Our processing of personal data is described in our Privacy Policy and, where applicable, any data processing agreement entered into between the parties.
Where we process personal data on behalf of Customer, Customer remains solely responsible for determining the purposes and legal bases of processing, providing notices, obtaining consents where required, and ensuring the lawfulness of the data submitted to the Service.
11. Third-Party Services and Dependencies
The Service may rely on, interoperate with, or enable access to third-party products, infrastructure, networks, hosting services, payment providers, email providers, analytics providers, calendar tools, and other integrations ("Third-Party Services").
Spacebook.tech does not control and is not responsible for Third-Party Services. Without limiting the generality of the foregoing, we are not responsible for any unavailability, failure, outage, security incident, delay, loss of data, or malfunction caused in whole or in part by any Third-Party Service, public network, telecommunications provider, internet failure, domain name issue, browser issue, device issue, customer environment, or force majeure event.
Any use of Third-Party Services is subject to the terms and policies of the relevant third party.
12. Intellectual Property Rights
Spacebook.tech and its licensors retain all right, title, and interest in and to the Service, including all software, code, technology, interfaces, designs, documentation, branding, trademarks, improvements, and related intellectual property rights.
Except for the limited rights expressly granted under these Terms, no rights are granted to Customer by implication, estoppel, or otherwise.
If Customer provides any ideas, comments, suggestions, or feedback relating to the Service, we may use and exploit such feedback without restriction or obligation.
12A. Customer Name and Logo
Where Customer is an organization, Customer grants Spacebook.tech a non-exclusive, worldwide, royalty-free, non-transferable license, for as long as Customer maintains an active account or subscription for the Service, to reproduce, display, and use Customer's name, trade name, and logo as supplied by Customer in its account or directly to us (together, “Customer Marks”) on public-facing marketing pages of websites operated by Spacebook.tech solely to identify Customer as a customer of the Service, including in a customer-logo banner. Spacebook.tech may resize or reformat Customer Marks as reasonably necessary for website display and may permit its website service providers to make copies only to provide that display.
Customer represents and warrants that it owns or controls the Customer Marks and has the authority to grant this license, and that Spacebook.tech's use of Customer Marks within the scope of this section will not infringe any third-party rights. Customer retains all right, title, and interest in the Customer Marks, and all goodwill arising from their use belongs to Customer. This license does not permit case studies, testimonials, paid advertisements, or any statement implying Customer's endorsement, sponsorship, or approval of Spacebook.tech without Customer's separate prior written consent.
Customer may withdraw this license at any time by written notice to contact@spacebook.tech. Spacebook.tech will stop new promotional use and remove Customer Marks from public-facing marketing pages under its control within ten (10) business days after receiving that notice or after termination of Customer's account or subscription. Copies retained in third-party caches or archives outside Spacebook.tech's control may remain until those services update or remove them.
13. Service Availability and Maintenance
The Service is provided as a hosted online service and may be unavailable, degraded, interrupted, or delayed from time to time, including as a result of scheduled maintenance, emergency maintenance, updates, security measures, capacity issues, infrastructure failures, software defects, internet or network issues, Third-Party Service failures, or events beyond our reasonable control.
Unless expressly agreed in writing, Spacebook.tech does not provide any service level agreement, uptime commitment, guaranteed response time, guaranteed recovery time, or guaranteed support level.
We may suspend access to the Service, in whole or in part, without liability where reasonably necessary for maintenance, upgrades, security, abuse prevention, legal compliance, technical intervention, or protection of the Service or its users.
14. No Warranty
To the maximum extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis. Spacebook.tech disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, reliability, security, accuracy, compatibility, and any warranties arising from course of dealing or usage of trade.
Without limiting the foregoing, Spacebook.tech does not warrant that:
- the Service will be uninterrupted, error-free, or free of defects;
- the Service will meet Customer's specific needs or expectations;
- the Service will be compatible with all third-party systems, browsers, devices, or workflows;
- all defects will be corrected;
- any data will never be lost, corrupted, delayed, or inaccessible;
- the Service will satisfy any legal, regulatory, procurement, school-district, or internal compliance requirement unless expressly agreed in writing.
Customer remains solely responsible for determining whether the Service is appropriate for its intended use and compliance environment.
15. Backup and Recovery Disclaimer
Spacebook.tech may use backup and recovery mechanisms as part of its operational practices. However, unless expressly agreed otherwise in writing, Spacebook.tech does not guarantee that Customer Data can always be restored, that any restoration will be complete, or that restoration will occur within any particular timeframe.
Backup and recovery capabilities are operational safeguards and do not constitute a guarantee against data loss, corruption, deletion, delay, or inaccessibility.
Customer is responsible for retaining such independent copies or records as it deems necessary for its own operational, legal, or compliance purposes.
16. Limitation of Liability
To the maximum extent permitted by applicable law, Spacebook.tech and its directors, officers, employees, affiliates, contractors, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, nor for any loss of profits, revenue, goodwill, business opportunity, anticipated savings, contracts, data, use, reputation, or business interruption, arising out of or in connection with the Service or these Terms, whether in contract, tort, negligence, strict liability, statute, or otherwise, even if advised of the possibility of such damages.
To the maximum extent permitted by applicable law, the aggregate liability of Spacebook.tech arising out of or in connection with the Service or these Terms shall not exceed the total fees actually paid by Customer to Spacebook.tech for the Service during the twelve (12) months immediately preceding the event giving rise to the claim. If no fees were paid, Spacebook.tech's total aggregate liability shall not exceed one hundred euros (€100).
- outages, downtime, interruptions, or degraded performance;
- loss, corruption, inaccuracy, or unavailability of Customer Data;
- failures of Third-Party Services;
- customer configuration errors, misuse, or unauthorized access;
- procurement rejection, regulatory unsuitability, or internal non-approval by Customer;
- suspension or restriction of access in accordance with these Terms.
Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by applicable law, including liability for fraud, fraudulent misrepresentation, or willful misconduct where such liability cannot lawfully be excluded.
The exclusions and limitations in these Terms apply in particular to claims arising from or relating to:
17. Exclusive Remedy
To the extent permitted by applicable law, Customer's sole and exclusive remedy for any dissatisfaction with the Service, any failure of the Service, or any claim arising out of or relating to the Service shall be limited to:
- cessation of use of the Service; and
- where applicable and expressly accepted by us in writing, termination of the applicable subscription at the end of the then-current term or such other limited remedy as may be expressly provided in a written order form.
Except where expressly agreed in writing, no refunds, service credits, penalties, or other compensation shall be due.
18. Indemnity
Customer shall indemnify, defend, and hold harmless Spacebook.tech, its affiliates, and their respective directors, officers, employees, contractors, and service providers from and against any third-party claims, actions, proceedings, liabilities, damages, judgments, losses, costs, and expenses, including reasonable legal fees, arising out of or related to:
- Customer Data;
- Customer's or its users' use of the Service;
- Customer's breach of these Terms;
- Customer's violation of applicable law;
- Customer's infringement or misappropriation of third-party rights.
This indemnity shall not apply to the extent the relevant claim results directly from our own breach of these Terms or our own unlawful conduct.
19. Claim Limitation Period
To the extent permitted by applicable law, no claim arising out of or relating to the Service or these Terms may be brought by Customer more than twelve (12) months after the event giving rise to the claim first occurred.
20. Suspension and Termination
We may suspend or terminate access to the Service, in whole or in part, immediately and without liability if:
- Customer materially breaches these Terms;
- fees remain unpaid after notice and a reasonable cure period;
- we reasonably believe the Service is being used unlawfully, abusively, or in a manner that creates security, legal, or operational risk;
- suspension is necessary to protect the Service, other customers, or third parties;
- we are required to do so by law, court order, regulator, or competent authority;
- continued provision of the Service is no longer commercially, technically, or legally feasible.
Customer may cancel its subscription in accordance with the applicable commercial terms.
Upon termination or expiration:
- Customer's right to access and use the Service shall cease;
- we may deactivate accounts and access credentials;
- Customer Data may be deleted in accordance with our retention practices, unless otherwise required by law or expressly agreed in writing;
- accrued payment obligations shall remain due and payable.

These Terms shall be governed by and construed in accordance with the laws of Belgium, excluding its conflict of laws principles.
Any dispute arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts of Brussels, Belgium, unless mandatory law provides otherwise.
23. Changes to the Terms
We may amend these Terms from time to time. If we make material changes, we may provide notice by email, through the Service, or by other reasonable means. The updated version shall become effective on the date stated at the top of the Terms unless otherwise indicated.
Continued use of the Service after the effective date of updated Terms constitutes acceptance of the revised Terms.
24. Order of Precedence
These Terms constitute the general legal framework governing use of the Service unless supplemented by a separate written agreement, order form, proposal, or data processing agreement.
If there is any conflict between these Terms and a separately executed written agreement signed by both parties, that signed agreement shall prevail solely to the extent of the conflict. No statement in marketing materials, product descriptions, emails, demos, or informal communications shall amend these Terms unless expressly incorporated into a written agreement signed by both parties.
25. General Provisions
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Our failure to enforce any provision shall not constitute a waiver.
Customer may not assign these Terms without our prior written consent, except in connection with a merger or sale of substantially all of its assets. We may assign these Terms in connection with a merger, reorganization, or sale of assets.
These Terms constitute the entire agreement between the parties on their subject matter, except as supplemented by any separate written agreement expressly incorporated by reference.
